Terms of Service

These Terms of Service (“Terms”) govern all quotes, proposals, and service engagements between Skyflex (“Skyflex,” “we,” “us”) and the party requesting drone-based data capture or related services (“Client,” “you”). By requesting a quote, accepting a proposal, or engaging Skyflex for services, you agree to these Terms.
1. Services
Skyflex provides commercial drone and ground-based data-capture services, including LiDAR scanning, thermal (FLIR) inspection, aerial photogrammetry, 360° virtual tours, confined-space and SLAM-based inspection, and aerial photography and video, as further described in the applicable quote or proposal. The specific scope of work, deliverables, and timeline for each engagement are defined in a written quote, proposal, or service agreement (an “Order”), which is incorporated into these Terms by reference.
2. Quotes and Estimates
Quotes and estimates are based on the site conditions, access, scope, and information available at the time the quote is prepared, and are valid for 30 days unless otherwise stated. Conditions discovered after acceptance: restricted airspace, limited site access, weather exposure windows, or a change in requested scope: may require a revised quote before work proceeds. Skyflex will notify Client of any material change in scope or price before performing additional work.
3. Deliverables and Licensing
Upon full payment, Skyflex grants Client a non-exclusive, perpetual license to use the deliverables (data, imagery, models, and reports) produced under the applicable Order for Client’s internal business and project purposes. Skyflex retains ownership of raw flight data, underlying methodologies, and proprietary processing workflows, and may use anonymized or de-identified project data for internal quality review and training. Deliverables are provided in the file formats specified in the Order; additional formats or re-processing outside the original scope may incur additional fees.
4. FAA Part 107 Operations
All Skyflex flight operations are conducted by FAA Part 107 certified Remote Pilots in Command in accordance with applicable Federal Aviation Administration regulations. Flights are subject to airspace authorization, weather, and safety conditions, and Skyflex retains sole discretion to delay, reschedule, or decline a flight when conditions do not meet safe operating standards. Client is responsible for providing accurate site information, disclosing known airspace restrictions or hazards, and securing any necessary property access or third-party permissions in advance of the scheduled mission.
5. Client Responsibilities
Client agrees to provide safe, lawful access to the project site, to disclose known hazards (overhead lines, restricted areas, wildlife, personnel movement), and to reasonably prepare the site for the scheduled mission. Delays caused by inaccurate site information, denied access, or unsafe conditions discovered on arrival may result in a rescheduling fee.
6. Payment Terms
Unless otherwise stated in the Order, a deposit is due prior to scheduling and the remaining balance is due upon delivery of final data. Invoices are payable within 15 days of the invoice date. Late payments may accrue interest at 1.5% per month, or the maximum rate permitted by law if lower, and Skyflex may withhold undelivered data until outstanding balances are paid in full.
7. Limitation of Liability
Skyflex maintains commercial general liability and, where applicable, hull/UAS insurance appropriate to its operations. To the fullest extent permitted by law, Skyflex’s total liability arising out of any engagement is limited to the fees paid by Client for the specific service giving rise to the claim. Skyflex is not liable for indirect, incidental, consequential, or special damages, including lost profits or business interruption, arising from the use of or reliance on deliverables. Deliverables are provided for the purposes described in the Order and should be independently verified by a licensed professional (engineer, surveyor, or similar) before being used for regulatory filings, structural decisions, or safety-critical determinations.
8. Confidentiality
Each party agrees to keep the other’s confidential business and site information private and to use it only for purposes of the engagement, except as required by law or as needed to deliver the contracted services.
9. Cancellation and Rescheduling
Client may cancel or reschedule a confirmed mission with at least 48 hours’ notice at no charge. Cancellations inside 48 hours, or missions aborted on-site due to Client-side access or safety issues, may be subject to a rescheduling fee to cover crew and equipment mobilization.
10. Governing Law
These Terms are governed by the laws of the State of Mississippi, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in Mississippi.
11. Changes to These Terms
Skyflex may update these Terms from time to time; the version posted at the time an Order is accepted governs that engagement. Continued use of Skyflex services after an update constitutes acceptance of the revised Terms.
